Introductions and Non-Disclosure agreement

We will talk informally to learn about you and your business. We will also answer any questions you have about BearCom. If both sides agree to take the conversation to the next level, we will enter into a Non-Disclosure Agreement (NDA) that protects everyone’s interests. We can then freely exchange confidential information.

Preliminary Discovery

Once NDAs are in place, we can determine if our company cultures and future plans and goals will be a good fit. We will also start the discovery process to determine the value of your business and suggest a transaction structure, as well as estimate how long the transaction might take to complete.

Indication of Interest and Letter of Intent

Equipped with the results of preliminary discovery, usually within a few weeks, a specific proposal will be developed. Once a preliminary agreement is reached regarding price and terms, the next step will be a letter of intent. This letter of intent details the terms and conditions with which BearCom proposes to acquire your business.

Due Diligence and Documentation

Once the letter of intent has been signed, a formal due diligence examination of your company takes place to validate the information that formed the basis of the proposal. The due diligence process is typically completed in 60-90 days. During that time, both parties negotiate and sign a purchase agreement, along with a variety of ancillary documents to affect the transaction.

Closing and Integration

The closing is the final step in the acquisition process. The closing typically occurs within 90 days of signing the letter of intent. Closing is the contractual signing and funding of the deal. As the closing date approaches, plans will be presented to gradually integrate and transition your team into the BearCom family.
